Terms of Use of iQ Suite Labs Ltd.

These Terms of Use ("Terms") govern your access to and use of the iQ Suite Labs website at iqsuitelabs.com and the waitlists, downloads, purchases, and other services offered through it (together, the "Services"), and set out the common principles that apply across the iQ Suite Labs product family. Each product may additionally ship with its own product-specific terms; where a product-specific term conflicts with these Terms on a product matter, the product-specific term prevails. By using the Services or any of our products, you agree to these Terms. If you do not agree, do not use them.

1. About iQ Suite Labs and our products

“iQ Suite Labs” is the trade name of iQ Suite Labs Ltd., UIC 208914302 — the legal entity responsible for the website and the products and your counterparty under these Terms. iQ Suite Labs designs and builds a range of professional productivity and orchestration software. Our portfolio is deliberately diverse: some products are local-first desktop applications that keep your working data on your device, while others are — or will be — cloud-based, hybrid, mobile, or web services. Each product’s architecture, data handling, and commercial model are described in that product’s own documentation and notices. References to "products" apply to all current and future iQ Suite Labs offerings unless a specific product states otherwise. Our current and announced products include Briefly iQ, Orchestration iQ, and PMO iQ; availability by platform and region varies and evolves over time.

2. Eligibility, accounts, and licenses

The Services are intended for professional and business use by individuals who are at least 16 (or the higher age of digital consent in your country) and able to enter a binding contract. Some products or features may require an account or a license key. You are responsible for the accuracy of the information you provide and for keeping your credentials and license keys confidential. License keys are personal and may not be shared, resold, sublicensed, or published.

3. Product availability, changes, and lifecycle

Features, availability, platforms, and pricing shown on the website reflect a current or planned release and may change between versions and over time. Products or features marked "in development", "coming soon", "beta", or "waitlist" are announcements and previews, not binding offers; joining a waitlist or trial creates no obligation on either side. We may add, modify, suspend, discontinue, or replace products and features as our portfolio evolves. Where a change materially affects a paid product you use, we will give reasonable notice through the product, release notes, or the website.

4. Purchases, subscriptions, trials, and billing

Where products are sold, paid plans and subscriptions are handled by our merchant of record — currently Polar (polar.sh) — which acts as the seller of record and manages checkout, payment processing, invoicing, tax/VAT, and subscription lifecycle under its own terms. Your payment details are handled by the merchant of record and its payment processors; we do not receive or store your full card data. Free trials, where offered, convert to a paid subscription only if you choose to subscribe. Unless cancelled, paid subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price; no further renewals are charged after cancellation. Refund requests are handled through the merchant of record in accordance with its refund policy. You may cancel at any time through the management link in your purchase confirmation; cancellation takes effect at the end of the current billing period unless mandatory law requires otherwise. Statutory withdrawal, cancellation, and refund rights available to consumers under applicable EU law are unaffected by this section.

5. License scope and acceptable use

Unless a product states otherwise, each product is licensed, not sold, on the terms presented with that product. As a common baseline across all products, and in addition to any product-specific restrictions, you agree not to:

• reverse engineer, decompile, or disassemble any product except to the extent this restriction is prohibited by mandatory law;
• redistribute, sell, rent, lease, sublicense, or provide a product as a service to third parties without our authorization;
• remove, obscure, or alter any proprietary notices, branding, or attributions;
• use a product to build or train a competing product or service, including by systematic extraction of its behavior or output;
• probe, scan, overload, scrape, mirror, or attempt to gain unauthorized access to the Services or their infrastructure.
• use the Services or products to infringe others’ rights, to process content you are not authorized to process, to transmit malware, or to violate applicable law;

We may suspend or terminate access for conduct that breaches this section or that we reasonably believe is harmful, unlawful, or abusive.

6. Third-party AI providers and services ("bring your own key")

Several of our products can connect, at your instruction, to third-party AI providers (for example OpenAI, Anthropic, Google, Groq, or Mistral) or to a locally installed runtime such as Ollama. Where a product uses a cloud provider, you are responsible for obtaining and securing your own API key or account, complying with that provider’s terms, and paying that provider’s fees. Content you submit to a third-party provider is processed under that provider’s terms and privacy policy, including its retention, training, sub-processing, and geographic-processing practices. We do not control and are not responsible for third-party providers’ pricing, availability, rate limits, output, or data handling. Local runtimes are separate third-party tools you install and operate yourself.

7. AI output — no reliance

AI-generated output is probabilistic and may be inaccurate, incomplete, biased, or fabricated. Summaries, transcriptions, decisions, actions, owners, dates, risks, and other structured output may be wrong or misattributed. You are solely responsible for reviewing, validating, and deciding whether to rely on, use, or distribute any output. Output does not constitute legal, financial, tax, HR, compliance, medical, or other professional advice and must not be treated as such.

8. Your content and responsibilities

You retain your rights in the content you input and in the output you generate, subject to the rights of any third-party provider you use. You are responsible for the content you paste, upload, or process — including having all rights, consents, and permissions required (for example, for personal data of meeting participants or confidential information of your employer or clients), complying with applicable law and your organization’s policies, and, where a product stores data locally, backing up and securing your local data, settings, and keys. You act as the data controller for personal data contained in the content you process; see the Privacy Statement for how our respective roles work.

9. Advertising and communications

The website and our products are currently ad-free, and we do not sell your personal data. We reserve the right to introduce optional marketing communications, promotional or referral programs, or advertising in the future. If we do, we will act in accordance with applicable law, this section, and the Privacy Statement — including, where required, obtaining your consent, clearly identifying advertising, and providing an easy way to opt out. We will not serve advertising that relies on tracking you across third-party websites without an appropriate legal basis and, where required, your consent.

10. Intellectual property

The Services, the iQ Suite Labs name and logo, the product names Briefly iQ, Orchestration iQ, and PMO iQ, the "iQ" family branding, and all related text, graphics, designs, and software are owned by iQ Suite Labs or its licensors and protected by intellectual-property laws. Except for the rights expressly granted in these Terms or a product license, no rights are granted to you. See the Trademarks & Legal Notice for permitted references to our brands.

11. Third-party links

The Services may link to third-party websites and resources. We provide these for convenience and do not endorse or accept responsibility for third-party content, products, or practices. Your use of third-party sites is governed by their own terms.

12. Disclaimers

To the maximum extent permitted by law, the Services and products are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. We do not warrant that the Services or products will be uninterrupted, error-free, or secure, or that output will be accurate or reliable. Nothing in this section limits warranties or rights that cannot be excluded under mandatory consumer law.

13. Limitation of liability

To the maximum extent permitted by law, iQ Suite Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Services or products — including reliance on AI output, third-party providers’ acts or omissions, or loss of locally stored data. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to a product is limited to the greater of the amount you paid for that product in the twelve months before the event giving rise to the claim, or EUR 50. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or under mandatory consumer-protection rules.

14. Indemnity

To the extent permitted by law, you agree to indemnify and hold iQ Suite Labs harmless from third-party claims arising out of your misuse of the Services or products, your content, or your breach of these Terms — except to the extent the claim results from our own breach or negligence, and subject to your mandatory consumer rights.

15. Term and termination

These Terms apply while you use the Services or products. A product license terminates automatically if you materially breach these Terms or the product-specific terms. You may stop using the Services at any time and, for products, by cancelling any subscription, uninstalling the product, and deleting its local data. Sections that by their nature should survive termination (including 7, 8, 10, 12, 13, 14, and 16) survive.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Bulgaria — the EU member state in which iQ Suite Labs Ltd. (UIC 208914302) is established — without prejudice to the mandatory consumer-protection rules of your EU country of residence that apply to you. The competent Bulgarian courts have jurisdiction, subject to any mandatory rule that entitles you as a consumer to bring proceedings in, or requires them to be brought in, your country of residence. EU consumers may also refer disputes to alternative dispute resolution (ADR) bodies; in Bulgaria, the competent consumer-protection authority is the Commission for Consumer Protection (kzp.bg), and consumers in other EU countries may contact their local European Consumer Centre.

17. Changes to these Terms

We may update these Terms as our company and products evolve. We will update the effective date and, for material changes, highlight them on the website or in release notes. Continued use after changes take effect constitutes acceptance. If any provision is held invalid, the remaining provisions remain in effect.
